Terms & Conditions

Welcome to Phynix Corporate Merchandise ("Phynix", "we", "our", or "us"). These Terms & Conditions govern all quotations, orders, sales, and supplies of products and services through phynix.online. By placing an order with Phynix, the client ("Customer", "you", or "your") agrees to be bound by these Terms & Conditions.

1. Quotations

1.1 All quotations are valid for thirty (30) days from the date of issue unless otherwise stated.

1.2 Prices are quoted in Australian Dollars (AUD) excluding Goods and Services Tax (GST). GST will be added to the total order value at the applicable Australian rate unless otherwise stated.

1.3 Product prices, freight charges, and decoration costs are subject to change prior to acceptance of a quotation.

2. Orders

2.1 No order will be released into production until all order documentation, including the Order Confirmation and all artwork proofs, visuals, and specifications, has been reviewed, approved, signed by the Customer, and returned to Phynix.

2.2 No order will be released into production until the required deposit payment has been received.

2.3 Any amendments requested after production has commenced may incur additional charges and may affect delivery times.

3. Payment Terms

3.1 A deposit of 50% of the total invoice value is required before production commences.

3.2 The remaining 50% balance is payable no later than two (2) business days prior to the scheduled dispatch or delivery date.

3.3 Products remain the property of Phynix until full payment has been received.

3.4 Payments may be made by:

- Credit Card

- Bank Transfer (Electronic Funds Transfer)

3.5 Payments made by credit card attract a 3.9% processing surcharge.

3.6 Orders may be delayed if payment is not received by the due dates.

4. Artwork Requirements

4.1 Customers must supply artwork in editable vector format, preferably:

- PDF (Editable)

- EPS

4.2 Artwork supplied in JPG, PNG, screenshots, photographs, or other non-vector formats may require professional redrawing.

4.3 Artwork redraw and recreation services are charged according to the complexity of the design.

4.4 Any artwork created by Phynix remains the property of Phynix until paid for in full.

5. Artwork Approval

5.1 Before production begins, the Customer will receive a digital artwork proof showing, where applicable:

- Logo placement

- Decoration method

- Product finish

- Colours

- Layout

5.2 Production will commence only after all order documentation, including artwork proofs, visuals, and specifications, has been approved, signed, and received by Phynix from the Customer.

5.3 Once artwork approval has been provided, the Customer accepts responsibility for any spelling errors, colours, positioning, dimensions, or other details contained in the approved proof.

6. Samples

6.1 Product samples may be supplied upon request.

6.2 Sample charges, decoration costs, and freight charges will be quoted separately.

6.3 Sample costs may be credited toward a production order at Phynix's discretion.

7. Colours

7.1 Every effort is made to reproduce decoration and product colours accurately.

7.2 Due to manufacturing processes, material types, decoration methods, and monitor settings, colour variations may occur.

7.3 Minor colour variations shall not be considered manufacturing defects.

8. Product Specifications

8.1 Product dimensions, capacities, colours, and specifications may vary slightly between production batches.

8.2 Such variations are considered acceptable industry tolerances.

9. Garment Sizes

9.1 Customers are responsible for selecting garment sizes.

9.2 Size charts supplied with quotations should be used as a guide.

9.3 Phynix accepts no responsibility for incorrectly ordered garment sizes after production has commenced.

10. Delivery

10.1 Delivery times vary depending on:

- Product availability

- Decoration method

- Artwork approval

- Production schedules

- Freight services

10.2 Estimated delivery times will be specified on each quotation.

10.3 Delivery dates are estimates only and are not guaranteed.

10.4 Phynix shall not be liable for delays caused by manufacturers, freight companies, customs authorities, natural disasters, industrial action, supplier delays, or other events beyond our reasonable control.

11. Freight

11.1 All freight and delivery charges are payable by the Customer unless otherwise agreed in writing.

11.2 Risk in the goods passes to the Customer upon delivery to the nominated delivery address or collection by the freight carrier.

12. Returns, Exchanges & Refunds

12.1 Due to the customised nature of promotional merchandise, all sales are final.

12.2 Phynix does not accept returns, exchanges, or refunds for:

- Change of mind

- Incorrect product selection

- Incorrect colour selection

- Incorrect garment sizes

- Customer-approved artwork errors

12.3 Products will only be replaced or refunded where they are proven to be defective or do not substantially conform to the approved artwork.

12.4 Any claim regarding defective goods must be submitted in writing within seven (7) days of delivery and include supporting photographs.

12.5 Nothing in these Terms excludes the Customer's rights under the Australian Consumer Law.

13. Intellectual Property

13.1 Customers warrant that they own, or have obtained all necessary permissions to use, any logos, trademarks, artwork, designs, or other intellectual property supplied to Phynix.

13.2 The Customer indemnifies Phynix against any claim arising from unauthorised use of intellectual property.

13.3 Any logos or trademarks displayed on our website or in our catalogue are shown solely as examples of our decoration capabilities and do not imply endorsement or affiliation.

14. Limitation of Liability

To the maximum extent permitted by Australian law, Phynix shall not be liable for any indirect, incidental, consequential, or economic loss arising from the supply or use of our products.

Our liability is limited to replacement of defective goods, repair of defective goods, or refund of the purchase price, at our discretion.

15. Force Majeure

Phynix shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, supplier shortages, transport interruptions, strikes, government actions, or other unforeseen events.

16. Governing Law

These Terms & Conditions are governed by the laws of the Commonwealth of Australia and the State in which Phynix operates. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the Australian courts.

17 Acceptance

By accepting a quotation, paying a deposit, placing an order, or purchasing through phynix.online, the Customer acknowledges that they have read, understood, and agreed to these Terms & Conditions.
